Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you (an authorized representative of a business entity, "Customer") and QUIALITECH Consulting LLC ("Quialitech", "we", "our", or "us"), a New Mexico limited liability company (File No. 3106510), located at 412 W 7th St, Clovis, NM 88101. By accessing or using the ComplAI platform and website quialitech.ai ("Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

ComplAI is a business-to-business (B2B) software-as-a-service (SaaS) platform that assists pharmaceutical, biotechnology, and medical device companies in automating GxP computer system validation (CSV) and computer software assurance (CSA) documentation. The Service includes AI-assisted document generation, electronic signature workflows, and audit trail management. The Service is intended solely for professional and business use by regulated industry professionals.

To use the Service, you must: • Be at least 18 years of age • Be acting on behalf of a legal business entity • Have authority to bind that entity to these Terms • Not be located in a jurisdiction where the use of such services is prohibited by applicable law The Service is not available for personal, household, or consumer use.

When you submit a contact or demo request form, you agree to provide accurate, current, and complete information. Quialitech reserves the right to decline any demo request or terminate access at its sole discretion.

You agree not to: • Use the Service for any unlawful purpose or in violation of applicable regulations • Attempt to gain unauthorized access to our systems • Reproduce, duplicate, copy, sell, or resell any portion of the Service without written permission • Upload or transmit any malicious code, virus, or disruptive content • Use the Service to generate fraudulent or non-compliant regulatory documentation Quialitech reserves the right to suspend or terminate access for any violation of these Terms.

All content, software, documentation, and materials available through the Service are the exclusive property of Quialitech or its licensors and are protected by applicable intellectual property laws. No license or right is granted except as expressly set forth in a written subscription agreement.

ComplAI is designed to assist — not replace — qualified validation professionals. The outputs generated by the Service are drafts intended for review, customization, and approval by qualified personnel. Quialitech does not warrant that any output will satisfy the specific regulatory requirements applicable to your organization. Customer is solely responsible for ensuring compliance with applicable regulations including, without limitation, 21 CFR Part 11, EU Annex 11, GAMP5, ICH Q9, and applicable FDA and EMA guidance.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. QUIALITECH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUIALITECH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL QUIALITECH'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Curry County, New Mexico.

We respect the intellectual property rights of others. If you believe that content available through the Service infringes your copyright, please send a notice to hello@quialitech.ai containing: • Your physical or electronic signature • Identification of the copyrighted work claimed to be infringed • Identification of the material claimed to be infringing and its location • Your contact information (address, telephone, email) • A statement of good faith belief that the use is not authorized • A statement that the information is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner We will respond to valid DMCA notices in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512). Note: QUIALITECH Consulting LLC has applied for registration of a DMCA Designated Agent with the U.S. Copyright Office pursuant to 17 U.S.C. § 512(c)(2).

We reserve the right to modify these Terms at any time. Material changes will be communicated via the website or email. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
